These Terms of Service ("Terms") govern your access to and use of ProofFabric (the "Service"), operated by Latent Ventures LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
ProofFabric is a platform that enables users to create verified "Proof Cards" to demonstrate projects they have built and shipped. The Service includes:
- Builder Readiness Assessment to evaluate your building readiness
- AI-generated personalized reports and recommendations
- Proof Card creation for live products and published content
- Third-party verification through GitHub, Stripe, and domain verification
- Public profile pages to showcase your verified work
- Embeddable badges and cards for external use
3. User Accounts
3.1 Account Creation
You may need to create an account to access certain features. You agree to provide accurate information and keep your account credentials secure.
3.2 Account Responsibility
You are responsible for all activities under your account. Notify us immediately if you suspect unauthorized access.
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or for any reason at our discretion, with or without notice.
4. Subscription Plans and Payments
4.1 Free Tier
Free accounts include one Proof Card with full verification features.
4.2 Pro Tier
Pro subscriptions ($5/month or $50/year) provide unlimited Proof Cards, premium embed styles, profile analytics, and card reordering.
4.3 Billing
Pro subscriptions are billed in advance on a monthly or annual basis. Payments are processed through Stripe.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
4.5 Price Changes
We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance.
5. User Content
5.1 Ownership
You retain ownership of all content you submit, including project information, descriptions, and builder notes.
5.2 License to Us
By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.
5.3 Content Guidelines
You agree not to submit content that:
- Infringes on intellectual property rights
- Is false, misleading, or fraudulent
- Is defamatory, obscene, or offensive
- Violates any applicable law or regulation
- Contains malware or harmful code
5.4 Content Removal
We reserve the right to remove any content that violates these Terms.
6. Verification Services
6.1 Nature of Verification
Our verification services confirm specific technical facts (e.g., URL is live, domain ownership, GitHub repository linkage, Stripe revenue ranges). Verification does not constitute endorsement of quality, legality, or commercial viability.
6.2 Accuracy
While we strive for accuracy, verification results are provided "as is." We are not responsible for errors in third-party data or changes after verification.
6.3 Third-Party Integrations
By connecting third-party accounts (GitHub, Stripe, Google), you authorize us to access limited data as described in our Privacy Policy. You are responsible for maintaining your connections and credentials with these services.
6.4 Revenue Verification
Stripe revenue is displayed only as ranges (Pre-revenue, $1-$1k, $1k-$10k, $10k-$50k, $50k+), never as exact amounts. You control whether to display this information publicly.
7. Intellectual Property
7.1 Our IP
ProofFabric, our logo, and the Service are protected by copyright, trademark, and other laws. You may not use our marks without written permission.
7.2 Embed Usage
You may embed Proof Cards and badges on third-party sites for personal or professional purposes. Embedding is subject to these Terms.
8. Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Create fake or fraudulent Proof Cards
- Impersonate another person or entity
- Scrape or collect user data without permission
- Use automated tools to access the Service without authorization
- Circumvent rate limits or security measures
9. Disclaimers
9.1 "AS IS" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 No Guarantee
We do not guarantee that the Service will be uninterrupted, secure, or error-free. Verification results are not guarantees and should not be solely relied upon for business decisions.
9.3 Third-Party Services
We are not responsible for third-party services, including GitHub, Stripe, or Google. Your use of these services is governed by their respective terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold harmless Latent Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.
12. Modifications to Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use after changes constitutes acceptance.
14. Governing Law and Disputes
14.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
14.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions or class-wide arbitration.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.3 Waiver
Our failure to enforce any right does not constitute a waiver of that right.
15.4 Assignment
You may not assign these Terms without our written consent. We may assign our rights freely.
